1. INTRODUCTION

In this Terms of Use ("Terms" or "Agreement") you will find terms and conditions for the safe and satisfactory use of our site which includes upload of content, mailing, purchase, interaction with your friends, members of your community or just people around you, and others. Terms were inspired by similar other web site terms, and adjusted for this specific purpose.

The SeeBlocks service and network (collectively, "SeeBlocks" "Site" or "the Service") are operated by WIRE Ltd. and its corporate affiliates (collectively, "us", "we" or "the Company").

You, (the User) may use the Service at www.Seeblocks.com or the mobile version of the Site (at the time of creating these Terms, a mobile version was still under construction) as "just" a visitor (if you just browse the Site) or a member (if you register for the Service and log in with your password, including clicking on a box or a button that states that you accept or/and agree to these Terms.  In these Terms the word "User" refers to both visitors and members. By using the Site as a User, that means either visitor or a member you are confirming that you have read, understand and agree to be bound by these Terms.

We may, from time to time, at our sole discretion, change, modify, add, or delete portions of these Terms without any special notice. If we do this, we will post such changes on this page and will indicate at the top the date of such change. If you continue to use the Service or the Site after any such changes it will mean that you accept the new Terms. If you do not agree with these altered or any future Terms, do not use or access (or continue to use or access) the Service or the Site.
It is your sole responsibility to regularly check the Site to find out if there have been changes to these Terms and to review such changes.

PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE WITH THE TERMS OR SHOULD YOU OBJECT ANY TERM OR CONDITION OF THIS DOCUMENT, YOU SHOULD LEAVE THE SITE AND SHOULD NOT REGISTER FOR THE SERVICE.

2. ABILITY TO ACCEPT TERMS OF USE

In consideration of your use of the Service, by clicking on the  "I accept" button you represent and warrant:

(I) you are 18 years of age of older, and you are fully able and competent to enter into the terms, conditions, obligations, affirmations,
representations, and warranties set forth in these Terms, and to abide by and comply with it.

This Site is intended for users who are 18 years of age or older and users who are under 18 but older than 13 and have parental or guardian consent to access this Site and use its features.

If you are under 13 years of age, then please do not use this Site. We may delete your profile and terminate your membership without warning if we believe that you are under 13 years of age.

(II) all information provided by you to us is true, accurate, valid, current and complete;

(III) you will maintain the accuracy of such information.

If you do not provide such information or we reasonably suspect that you have not, we have the right to suspend or terminate your account and refuse any and all use or access to the Service.

3. ACCOUNT

When you decide to use the Service and the Site, and create an account, you agree to provide and maintain true, accurate, current and complete information about yourself as may be asked by any registration forms on the Site.

You will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality and security of your password and all identification information.

You are and will be fully responsible for any and all use of your account, for any and all information you provide through your account as well as for any and all actions that take place using your account. You agree to promptly update any information asked by our registration forms or any other information you provide to us.

You agree not to use the account, username or password of another member at any time or to disclose your password to any third party.
You agree to notify us immediately of any breach of security or if you suspect any unauthorized use of your account, username, or access to your password or any other account information.
You also agree to ensure that you exit from your account at the end of
each session.


4. POSTED CONTENT

You understand and agree that you are and shall be solely responsible for all content you have posted and the consequences of posting/uploading or publishing it. That includes photos, profiles (including your name, image, and likeness), designs, graphics, images, messages, notes, text, information, music, video, advertisements, listings, and all other content that you upload, publish or display on or through the Service or the Site, or transmit to or share with other users ("Content").

You understand that you may not post, transmit, or share Content on the Site or Service that you did not create or that you do not have permission to post, which includes any content in its completeness or any part/portion of content.

You are solely responsible at your sole cost and expense for creating backup copies and replacing any Content you post or store on the Site or provide to us.

We assume no responsibility for monitoring the Site for inappropriate Content or conduct. If, however we decide, at our sole discretion, to monitor the Site, we assume no responsibility for the Content and no obligation to modify or remove inappropriate Content.

That means you understand and agree that we may, but are not obligated to, review and monitor the Site and may delete or remove, reject or refuse to post, without any notice, any Content at our sole discretion, for any reason or no reason, including Content that at our sole discretion violates these Terms, or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Users or any other person or entity.

We also do not control the Content posted on the Site and through the Service and, do not guarantee the accuracy, integrity or quality of any such Content.

You further understand that by using the Service you may be exposed to Content that is offensive, indecent, inaccurate, misleading or otherwise objectionable. That means that you understand and agree that you must evaluate and bear all risks associated with the use of any Content, and that under no circumstance will we be liable in any way for any Content, including but not limited to any errors or omissions in any Content, or any loss or damage of any kind occurring as a result of usage of any Content made available on or through the Service and Site.

We have created and provided certain areas on the Site that may contain adult content. You must be at least 18 years of age to access and view such areas.

You affirm, represent, and/or warrant that you own and/or have the necessary licenses, rights, consent, and permission to use and authorize us to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all your Content in the whole or any part of such Content, to enable inclusion and use of the Content in the manner decided by us and these Terms.

For all Content that you display, upload and post to the Site, you authorize and direct us to make copies of such Content as we deem necessary in order to facilitate the posting and storage of the Content on the Site.

By posting Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant to us an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license with the right to sublicense, to use, copy, modify, adapt, publicly perform, digitally perform, publicly display, reformat, translate, excerpt (in whole or in part), reproduce and distribute that Content in any format or medium now known or later developed, for any purpose, commercial, advertising, or otherwise, or in connection with the Site or its promotion , to prepare derivative works of, or incorporate into other works, and to grant and authorize sublicenses of the foregoing.
We do not claim or assert any ownership rights over any Content you post/upload on or through the Site, but subject to the rights granted to us in these Terms, you retain full ownership of all of your Content and any intellectual property rights or other proprietary rights associated with your Content.

You may remove your Content form the Site at any time. This license granted by you exists only as long as you choose to continue to include/post any of your Content on the Site, and it will terminate within a commercially reasonable time after you remove or we remove any such Content from the Site.
You understand and agree, however, that we may retain server copies of your Content that have been removed or deleted.

Regardless of the foregoing, there are no assurances that any Content you submit shall actually be utilized on the Site, or if utilized, be available for any particular time.

5. RULES OF CONDUCT

You understand, agree and accept that your account, the Service and the Site is for your sole, personal use, that you will not authorize others to make any use of any kind of your account or profile and that you will not make any use of any kind of the Service and the Site for any commercial purposes (except the features offered by us on the Site), nor will you authorize others to do so.

You represent, warrant and agree that:

(I) you own the Content posted, uploaded, transmitted or shared by you on or through the Site and the Service, or otherwise have the right to grant the license you have granted us;

(II) the posting, uploading, transmitting or sharing of your Content on or through the Site and the Service does not and will not violate or infringe the privacy rights, publicity rights, copyrights, trademarks, contractual rights or any other rights of any other person or entity or contains libelous, defamatory or otherwise unlawful material, and/or you are the owner of such rights or have permission from their rightful owner to post the material and to grant us all the license rights granted herein;

That means that we expect of you to have all necessary permissions of all of the persons included and/or owners of all proprietary rights, including privacy and publicity rights included in your Content.
 
For example, you post/upload a video for which you own or have obtained and cleared all rights on the visual part, but the video also contains an audio part - a song or a part of a song under copyright; or you post a video of your acting or other performance, and your performance is accompanied by music. Such audio parts/music must also be cleared regarding all of the proprietary rights.

Also, as an example of a photography or a video, you agree to post/upload only that of you or your friends or any other person for which you have all the necessary permits and consents of persons you have filmed for this kind of publicizing; or that which is taken by you or your friends and for which you have all the necessary permits and consents of persons you have filmed for this kind of publicizing.

You agree to pay for all royalties, fees, and any other monies owing to any person or entity by reason of any Content posted or otherwise transmitted or shared by you on or through the Site and the Service.

We do not endorse or promote any kind of violent, intimidating, harassing, excluding or similar behavior which would be aimed at violating the rights of others, so by using this Site you agree to sustain from all possible usage of the Service and the Site which consists of or could lead to:

using the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site;
harvesting or collecting email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
any automated use of the system including but not limited to automated scripts to collect information from or otherwise interact with the Service or the Site;
registering for more than one User account, registering for a User account on behalf of an individual other than yourself, or registering for a User account on behalf of any group or entity;
impersonating any person or entity, or falsely stating or otherwise misrepresenting yourself, your age or your affiliation with any person or entity;
soliciting personal information from anyone under 18;
soliciting passwords or personally identifying information for commercial or unlawful purposes;
intimidation, abuse, threat, harassment or harm to others and/or using any information obtained from the Site in order to do so;
using or attempting to use another's account, username or password without our authorization, or creating a false identity on the Service or the Site;
selling or otherwise transferring your profile.


You further agree not to upload, post, transmit, share, store or otherwise make available any Content which:

constitutes or promotes information you know is false or misleading or promotes illegal activities or conduct that is harmful, threatening, unlawful, defamatory, infringing, abusive, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise offensive or libelous;
is excessively violent or exploits people in a violent manner or sexual manner or contains a link to an adult website;
would constitute, promote, encourage or provide instructions for a criminal offense, violate the rights of any party and/or is illegal or prohibited, including but not limited to: child pornography, drug dealings, gambling, stalking, copyright or patent infringement, theft or trade secrets, or any other use of the Service that would otherwise create liability or violate any and all applicable local, state, national and international laws and regulations;
consist of any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
consist of any private information that poses or creates a privacy or security risk to any person, including but not limited to, address, email, Social Security numbers and credit card numbers;
contains software viruses, bots, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use for access to a computer or a computer network.

In order to protect you and other Users form any such advertising or solicitation we reserve the right to restrict the number of messages the User may send to other Users in any 24-hour period to a number we deem appropriate at our sole discretion.

Notwithstanding the foregoing, we do care and are trying to protect dignity and privacy of all, so here are certain examples of possible Content which are unacceptable:
 
- videos uploaded as part of a marketing effort;
- videos of conversations, which might be considered a form of eavesdropping;
- videos from a hidden "bathroom cam";
- photographs taken by a physician in connection with medical treatment;
- webcam capture of images of someone committing suicide and any other content including similar features.

We reserve the right to decide if your usage of the Site is objectionable or restricts or inhibits any other person from using or enjoying the Site, or which may expose us or users of the Site to any harm or liability of any type.

We also reserve the right to investigate and take appropriate legal action against anyone who, at our sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct as well as rules of acceptable Content.


6. PROPRITARY RIGHTS IN CONTENT ON THE SITE

All information, materials, function and other content, including without limitation the text, designs, graphics, scripts, photos, video, applications, software, music, sound, interactive features and other files, and their selection and arrangement (the "Site Content"), contained on and available through the Site and the Service are our proprietary property or proprietary property of our licensors with all rights under the law.

Except for your own Content (as defined above) that you legally post on the Site, you agree and understand that you may not modify, alter, copy, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, perform, broadcast, transmit, use in commercial way or otherwise exploit, in any form or by any means, in any medium, in whole or in part, any Site Content without our prior written permission.

Provided that you are eligible for use of the Site, we hereby grant you a limited, revocable, nonsublicensable license to access, use, reproduce and display the Site Content you have properly gained access to, solely for your personal, non - commercial use in connection with your use of the Site and the Service, provided that you keep all copyright or other proprietary notices intact and, as stated above, make no modifications to Site Content.

That also means that except for your own Content, you may not upload or republish Site Content on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation.

Granted license is subject to these Terms and does not permit use of any data mining "robots", "spiders", "offline readers", scraping or similar data gathering or extraction methods.

Any use of the Site or the Site Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and in that case we will terminate the license we have granted you.

Unless explicitly stated herein, no other rights are granted to you whether by estoppels, implication or otherwise, other than those explicitly stated herein.

We reserve the right to revoke this license at any time without notice and with or without cause, as well as the right to discontinue any aspect of the Site at any time and/or change the Site or delete any portion of Site Content at any time, in any way, for any or no reason.

You should be aware that the Site may provide and contain (or you may be sent through the Site or the Service) links to third party web sites that are beyond our control, such as banner advertisements and links from advertisers, sponsors and others. Because we do not have any control over such sites and materials, and we do not monitor, investigate or check such sites and their content you acknowledge that when you decide to click on any of such links, we assume no responsibility for the content, privacy policies or practices of any such third party web sites accessed through our Site.

You acknowledge and agree that we do not approve, or endorse, and are not responsible or liable for any content, advertising or other materials available from such sites or resources.
 
If you decide to leave our Site and access such third party web sites or to
use or install any of their content, you do so at your own risk and you should be aware that our terms and policies no longer govern.
All your activities with or participation in dealing with any third party web sites are solely between you and such sites/advertiser. You should make whatever investigation you feel necessary or appropriate before proceeding with any dealing/transaction with any of these third parties.

By accepting these Terms and using our Site you expressly relieve us from any liability for any loss or damage of any sort occurred arising from your use of any third party websites and/or content or as the result of the presence of such advertisers on the Site/through the Service.

Site name SeeBlocks, domain www.Seeblocks.com and other Company graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of the Company. Our trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without our prior written permission.
